Master Services Agreement

1. Agreement Structure

This Master Services Agreement (“MSA”) describes the commercial terms for paid use of Foixar. Specific subscriptions, fees, usage limits, support levels, and start dates are set out in an order form or other written agreement. If an order form conflicts with this MSA, the order form controls for that order.

2. Services

Foixar provides an enterprise software delivery platform for AI-assisted specification generation, code generation, PR governance, multi-agent reports, decision capture, business context indexing, integrations, audit trails, and related services. Features may depend on customer configuration, connected systems, and tenant-selected resources.

3. Customer Responsibilities

Customers are responsible for their users, connected repositories, source control permissions, identity configuration, tenant data, rule values, review decisions, and bring-your-own resources. Customers must maintain valid credentials, adequate quotas, lawful data rights, and appropriate internal approvals for all resources connected to Foixar.

4. Fees and Payment

Fees, billing cadence, taxes, renewals, and payment terms are defined in the applicable order. Unless stated otherwise, fees are non-refundable and do not include charges from customer-managed cloud, AI, storage, source control, or identity providers.

5. Trials

Trial access is provided for evaluation only and may be time-limited, usage-limited, or feature-limited. Foixar may suspend or end trial access at the end of the trial period or where use creates security, legal, or operational risk.

6. Confidentiality

Each party may receive non-public business, technical, security, or product information from the other. The receiving party must protect confidential information using reasonable care and use it only to perform under the agreement.

7. Intellectual Property

Foixar retains all rights in its platform, proprietary agent logic, model instructions, validation methods, orchestration methods, rule schemas, audit infrastructure, and governance engine components. Customers retain rights in Customer Data, tenant content, connected resources, and customer-configured rule values.

8. Support and Availability

Support and availability commitments are described in the SLA & Support Terms or the applicable order form.

9. Termination

Either party may terminate for material breach if the breach is not cured within 30 days after written notice. Upon termination, customer access ends and Customer Data will be returned or deleted according to the applicable retention and data-processing terms.

10. Governing Law

This MSA is governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law principles, unless a separate written agreement states otherwise.
